👀 The Circus Will Be In Town On 12/2 👀

GM Everyone,

Buckle up, folks! We got some much-needed details on the upcoming “procedural” ALJ hearing on rescheduling set for December 2. The hearing will be livestreamed, which caught many by surprise. We’ll be livestreaming the livestream—what we're calling “liveception.” So, get your popcorn ready. Yesterday, we also learned that HHS has formally declined the DEA’s invitation to testify at the hearing. HHS has already done their part, and the DEA has stated the process used to reach their memo's conclusions was “legit” and reinforced by the OLC. However, if the DEA wants to spice things up, a subpoena might be heading HHS's way.

Signing off until after the holiday. All eyes on 12/2.

GTI Gets A Cashish Injection

Green Thumb Industries Inc. (CSE: GTII, OTCQX: GTBIF) just announced a tidy windfall from a prior loan to Cansortium Inc., netting approximately $23 million of principal plus 13% accrued interest. This boosts their Q3 ending cash balance to a robust $174 million. CEO Ben Kovler, ever the shrewd financial strategist, congratulated Cansortium on their recent move and highlighted Green Thumb's opportunistic investment approach. Kovler's strategy of seeking upside optionality with downside protection paid off, literally, at 100 cents on the dollar. As the cannabis market continues to bloom, Green Thumb is primed to reinvest these funds into new opportunities, keeping their shareholders smiling.

C21 Initiates Buyback Program

C21 Investments Inc. (CSE: CXXI, OTCQX: CXXIF) is gearing up to repurchase up to 6,002,390 common shares, representing about 5% of its outstanding shares, through a normal course issuer bid (NCIB). Kicking off December 2, 2024, and running until December 2, 2025, these shares will be scooped up on the Canadian Securities Exchange at market prices. The buyback will be funded with cash on hand, and shares snagged will be promptly canceled. By gobbling up its own stock, C21 aims to bolster shareholder value, asserting that the current market price undervalues its business prospects.

Cansortium Closes Major Credit Facility

Cansortium Inc. (CSE: TIUM.U, OTCQB: CNTMF) just closed a hefty $96.5 million senior secured credit agreement with Chicago Atlantic Admin, LLC. Sporting a cash interest rate of 12.00% and a PIK interest of 1.00% per annum, this deal refinances their existing $71 million term loan, nixing the $10 million prepayment requirement. CEO Robert Beasley is all smiles, highlighting the non-dilutive structure preserving shareholder value and zero major debt maturities until late 2028. With additional credit lines totaling $25 million and cash inflow from the RIV Capital combination, Cansortium is ready to ramp up strategic acquisitions and growth initiatives in key markets.

Trump Administration’s Potential Approach to Cannabis Reform | Trade to Black

What we covered:

In the latest Trade of Black Evergreen Mini video, host Shadd Dales explains what cannabis policy reform could look like under a renewed Trump administration.

Following the 2024 elections, with Republicans controlling the Senate and Trump back in the White House, the political landscape could favor progress on cannabis reform. Key initiatives like the SAFE Banking Act may gain traction, offering cannabis businesses access to financial services while addressing public safety concerns.

The appointments of Pam Bondi as Attorney General and Robert F. Kennedy Jr. as Secretary of Health and Human Services could further shape reform efforts. Bondi’s pragmatic approach could emphasize regulating cannabis banking to reduce crime, while Kennedy’s openness to alternative therapies might lead to rescheduling cannabis, unlocking its medical potential.

With growing bipartisan support and examples of economic success in Republican-led states, this administration could spearhead historic changes in U.S. cannabis policy.
